These terms cover the design, build and operation of automation software by VoiceFlowgent. Where a signed agreement, statement of work or platform contract exists with a client, that document governs, and these terms fill the gaps.
1. What we provide
VoiceFlowgent designs, builds, deploys and supports business automation workflows. Depending on the engagement that can include workflow design, integration with the client's existing tools, AI-assisted extraction and processing, dashboards and reporting, deployment onto infrastructure the client owns, and handover documentation.
2. Scope
The specific work is defined in the engagement document agreed for it: a scope of work, proposal, statement of work or platform contract. Anything outside that document is a new engagement, priced separately. We will say so before doing it, not after.
3. Client accounts and ownership
Automations connect to accounts the client owns, such as email, storage, spreadsheets, databases, CRM, messaging and hosting.
The client remains the owner of those accounts and of all data inside them, at all times, during and after the engagement.
The client is responsible for keeping those accounts active, paid for, and in good standing. An automation cannot run against a suspended or expired account.
Where the client asks us to operate an account on their behalf, we do so only within the agreed scope.
4. Authorised use
Automations act only as configured and agreed. We do not use client access for anything outside the commissioned work.
Access can be revoked by the client at any time, through the connected provider's own security settings, without notice to us. Revoking access stops the automation from running.
5. Third-party services
Automations depend on services we do not control, including providers of email, storage, hosting, telephony, messaging and AI models.
Those providers set their own terms, prices, rate limits and availability, and can change them.
We build for reliability, including error handling and failure alerting, and we will work to restore a broken automation. We do not guarantee uninterrupted operation of services we do not control.
Where a provider's change breaks an automation, fixing it is support work, handled under whatever support arrangement is in place.
6. AI output and human review
Where a workflow uses an AI model, its output is a best-effort extraction or generation and can contain errors.
Where the agreed design includes a human review step, the client is responsible for performing that review before acting on the output.
Where the client asks for a workflow to run without human review, they accept the risk of unreviewed output.
We are not responsible for business decisions taken on the basis of automated output.
7. Availability and support
Support terms, response times and any ongoing maintenance are set in the engagement document. Where nothing is stated, support after handover is provided on a reasonable-efforts basis and does not include new features.
8. Fees and payment
Fees, milestones and payment terms are set in the engagement document or on the platform the engagement was contracted through. Work may be paused where agreed fees are outstanding.
9. Confidentiality
Each side keeps the other's non-public business information confidential, and uses it only for the engagement. This survives the end of the engagement. It does not cover information that is already public, or that a party is required by law to disclose.
10. Intellectual property
The client's data, content and accounts remain the client's.
On full payment, the client receives the delivered workflow and its configuration for use in their own business.
VoiceFlowgent keeps ownership of its own general methods, templates, reusable components and know-how, including anything developed before the engagement, and may reuse them for other clients. Nothing in this clause allows us to reuse a client's data or confidential information.
11. Acceptable use
Our software may not be used to send unlawful communications, to process data the client has no right to process, to violate a connected provider's terms of service, or for any unlawful purpose. We may suspend work if it is.
12. Warranties
We will perform the work with reasonable skill and care. Beyond that, and to the extent the law allows, the software is provided without further warranties, including any implied warranty of fitness for a particular purpose.
13. Liability
To the maximum extent permitted by law, VoiceFlowgent's total liability arising from an engagement is limited to the fees paid for that specific engagement. We are not liable for indirect or consequential loss, including lost profit, lost business or loss of data held in the client's own systems.
14. Term and termination
Either side may end an engagement in writing. On termination, work completed to that point is payable, we disconnect our access on request, and the client keeps everything delivered and paid for.
15. Governing law
These terms are governed by the laws of India, and the courts of India have jurisdiction, unless a signed agreement with the client says otherwise.
16. Changes
We may update these terms. The current version is always the one on this page. Changes do not retroactively alter a signed engagement document.
